Cathay Pacific names Zhao Xiaohang non-executive director

Former Air China executive replaces Zhang Lan, who will retire from her Vice President poet in Air China.

The Board of Directors (the “Board”) of Cathay Pacific Airways Limited (the “Company”) announces that, with effect from 1st June 2011:

(1) Ms. Zhang Lan has resigned as a Non-Executive Director of the Company;

(2) Mr. Zhao Xiaohang has been appointed as a Non-Executive Director of the Company.

Ms. Zhang Lan has confirmed that she is not aware of any matter relating to her resignation that needs to be brought to the attention of the shareholders of the Company. She has also confirmed that her resignation is due to her retirement from Air China Limited (“Air China”), which is a substantial shareholder of the Company and of which she was Vice President, and that she is not aware of any disagreement with the Board of the Company. The Board would like to express its gratitude to Ms. Zhang Lan for her outstanding contributions and wise counsel during the past four years since her appointment as a Director of the Company on 23rd October 2006.

Mr. Zhao Xiaohang, aged 49, graduated from Tsinghua University majoring in management engineering, holds a postgraduate diploma and a master’s degree. Mr. Zhao started his career in August 1986 and has served in various positions, including Assistant of the Planning Department of Beijing Administration Bureau of Civil Aviation Administration of China, Assistant, Section Chief and Deputy Division Chief of the Planning Department of Air China, manager and deputy secretary of the Ground Services Department, general manager of the Planning and Development Department and assistant president of Air China. He has been serving in various other positions since September 2003, including Director, Vice President and Secretary of the Commission for Discipline Inspection of China National Aviation Corporation (Group) Limited, Director and General Manager of China National Aviation Company Limited, Director and General Manager of China National Aviation Corporation (Macau) Company Limited and Chairman and General Manager of Air Macau. He has been serving as Vice President of Air China since February 2011, according to a Cathay Pacific report.

In accordance with the Company’s Articles of Association, Mr. Zhao Xiaohang will hold office as a Director until the annual general meeting to be held in 2012 and will then be eligible for election; thereafter he will retire at the third annual general meeting following his election by ordinary resolution and will be eligible for reelection.
Mr. Zhao has entered into a letter of appointment, which constitutes a service contract, with the Company for a term expiring on the date of the annual general meeting to be held in 2012, which will be renewed for a term of three years upon each election/re-election.

Mr. Zhao is entitled to the director’s fee determined by the Board, currently fixed at the level of HK$575,000 per annum.
