
Synagistics signs $40m call option to acquire AI firm Movitech
Synagistics will gain exclusive rights to acquire Movitech over three years.
Synagistics Limited has signed a binding call option to acquire up to 100% of Movitech Co., Ltd., a China-based artificial intelligence and enterprise software firm, in a deal valued at $40.45m (US$30m).
Under the agreement, Synagistics will gain exclusive rights to acquire Movitech over three years, with the final price subject to due diligence and performance-based adjustments.
Movitech’s shareholders have provided revenue and profit guarantees, including a minimum of $99.59m (RMB540m) in revenue and $12.14m (RMB66m) in net profit from 2025 to 2027. Any shortfalls will be compensated in cash and will reduce the final purchase price.
The acquisition follows a March 2025 joint venture between the two companies to launch Geene, an enterprise-grade AI platform that combines Generative AI, Blockchain, and Big Data.
The company noted that the call option itself does not constitute a notifiable transaction under Hong Kong listing rules, but said further announcements will be made if the option is exercised.
Synagistics advised shareholders and potential investors to exercise caution in trading its securities.
